2. Acceptance of Terms
By accessing or using Simplifi’s website, applications, or services (collectively, the “Service”), you agree to these Terms. If you do not agree, do not use the Service.
3. Description of Service
Simplifi is a software-as-a-service platform for creative businesses (e.g., photographers, event planners, creative agencies) that may include features such as bookings, invoicing, client tracking, reporting, and related functionality.
4. Accounts and Registration
To use certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
5. Human-Driven Services (Confirmation)
The core Service is a self-serve software product delivered digitally.
Human-driven services involved:
- Customer support: Yes (human support may respond to inquiries and troubleshoot issues).
- Professional services: We may offer optional onboarding, setup help, training, migration, or consultation if you request it. If offered, professional services will be described in a separate written scope/order (and may be subject to additional terms).
6. Billing, Payments, and Merchant of Record
6.1 Paddle as Merchant of Record
Payments for paid plans and other purchases made through the Service are processed by Paddle (or an applicable Paddle group company) acting as the Merchant of Record and authorised reseller. This means:
- (a) you purchase the paid offering from Paddle using Paddle’s payment services;
- (b) the Simplifi software service (“Product”) is licensed/provided to you by Simplifi Studio as the Supplier/licensor.
Your purchase is therefore governed by (i) these Terms and (ii) Paddle’s applicable buyer terms, depending on how you pay:

- Invoicing (Consumer purchases): Paddle Invoiced Consumer Terms and Conditions
- Invoicing (Business purchases): Paddle Invoiced Business Terms and Conditions
6.2 Pricing, Taxes, and Renewals
(a) Pricing, billing frequency, plan inclusions, and any applicable taxes are displayed at checkout and/or in your account before you confirm payment.
(b) Subscriptions renew automatically unless cancelled before the renewal date. You authorise Paddle to charge your selected payment method on each renewal until you cancel.
(c) Paddle may calculate, collect, and remit applicable taxes based on your location and other transaction details, where required.
You can cancel a subscription at any time:
- (a) via your Simplifi account, or
- (b) via the cancellation instructions in your Paddle receipt/invoice, or by contacting Paddle buyer support.
Unless otherwise stated at checkout, cancellation takes effect at the end of the current billing period.
7. Refund Policy (Paddle)
7.1 Paddle handles refund requests
For purchases processed by Paddle, refund requests are handled by Paddle under Paddle’s applicable buyer terms.
Refund policy (Paddle):
“Refunds are provided at the sole discretion of Paddle and on a case-by-case basis and may be refused.”
Paddle may refuse refund requests where there is evidence of fraud, refund abuse, or other manipulative behaviour. This does not affect your statutory consumer rights (for example, where a product is faulty, not as described, or not fit for purpose).
7.2 How to request a refund
To request a refund, follow the instructions in your Paddle receipt/invoice (e.g., “Manage subscription” / “View your purchase”), or contact Paddle buyer support
8. Acceptable Use Policy
You agree not to use our services to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Transmit harmful, offensive, or inappropriate content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the service or servers
- Resell, sublicense, rent, or provide access to the Service to third parties except as expressly permitted by your plan or in writing by Simplifi Studio.
- Reverse engineer, decompile, or disassemble our software
9. Customer Data and Privacy
9.1 Your Data
You retain ownership of content and information you submit to the Service (“Customer Data”). You grant us the right to process Customer Data only as needed to provide, secure, and improve the Service.

10. Intellectual Property Rights
All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services without our prior written consent.
11. Service Availability and Changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may update, modify, or discontinue parts of the Service, and we may perform maintenance that affects availability.
12. Termination
We may suspend or terminate access if you materially breach these Terms, misuse the Service, or where required for security/legal reasons.
You may stop using the Service at any time. Upon termination/expiration, your access may end and your data may be handled according to our retention/deletion practices described in our Privacy Policy and/or within the product.
13. Disclaimers
The Service is provided “as is” and “as available.” To the extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the extent permitted by law, Simplifi Studio will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from or related to your use of the Service.
15. Governing Law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law rules. Venue for disputes will be the courts of San Fernando City, Pampanga, Philippines, unless mandatory consumer protection laws require otherwise.
16. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Continued use of the Service after changes become effective constitutes acceptance.
